Seller Terms

1. Purpose

These Seller Terms (hereinafter "the Terms") define the rules applicable to workflow creators and sellers (hereinafter "the Seller") using the FlowMarket platform to offer their products and services.

By publishing a workflow on FlowMarket, the Seller accepts these Terms, the Terms of Use and the General Terms of Sale.

2. Seller Status

The Seller acts as an independent contractor (sole trader, individual business, company, etc.) and not as an employee, agent, or representative of FlowMarket.

The Seller declares and warrants:

  • To be duly registered and compliant with their tax and social security obligations
  • To have the legal capacity to carry on a commercial activity
  • To be solely responsible for their reporting and tax obligations related to income generated on the Platform

No employment relationship exists between the Seller and FlowMarket. The Seller is free to organise their activity and sets their prices freely within the limits defined by the Platform.

3. Creator Responsibility

The Seller is solely responsible for:

  • The quality, conformity, and proper functioning of the workflows they publish
  • The accuracy of descriptions, screenshots, and information provided on the product page
  • Respecting third-party intellectual property rights
  • Performing service contracts (installation, setup, custom development) that they offer
  • Complying with applicable legislation, in particular regarding data protection and consumer law

FlowMarket shall not be held liable for the acts, omissions, or failures of the Sellers.

The Seller acknowledges and accepts that, after a digital content has been made available, the Platform grants no refund, credit note, or convenience cancellation to the buyer. The Seller remains solely responsible for any disputes relating to the conformity of their offer or the existence of a mandatory statutory obligation.

4. Platform Commission

FlowMarket charges a commission on each sale made through the Platform. The commission rate is degressive based on the number of sales made by the Seller:

The commission is automatically deducted at the time of the transaction. FlowMarket reserves the right to modify commission rates with 30 days' notice.

5. Seller Payments

Payments to sellers are made via Stripe Connect. To receive payments, the Seller must:

  • Create and connect a Stripe Connect account from their FlowMarket dashboard
  • Complete the identity verification process required by Stripe
  • Provide the necessary bank details for fund transfers

Funds are transferred to the Seller's Stripe Connect account after payment confirmation by the buyer, net of the FlowMarket commission. Transfer timelines to the Seller's bank account depend on Stripe's terms.

6. Published Content

The Seller warrants that the workflows published on FlowMarket:

  • Are their original creation or that they hold the rights to sell them
  • Do not contain malicious code or viruses
  • Do not violate any third-party intellectual property rights
  • Conform to the provided description
  • Function as advertised at the time of publication

7. Prohibited Conduct

The following are strictly prohibited for the Seller:

  • Publishing illegal content: workflows facilitating unlawful activities, unauthorized scraping, spam, hacking, or any content contrary to applicable law
  • Spam and abusive practices: mass-publishing low-quality workflows, manipulating reviews, creating fake buyer accounts
  • Bypassing the Platform: encouraging buyers to transact outside FlowMarket to avoid commissions
  • Intellectual property infringement: copying or reselling other creators' workflows
  • Data collection: using the Platform to collect users' personal data for unauthorized purposes

8. Suspension and Termination

FlowMarket reserves the right to suspend or terminate a Seller's account in case of:

  • Violation of these Terms
  • Repeated complaints from buyers
  • Publication of illegal or non-compliant content
  • Fraud or attempted fraud
  • Prolonged inactivity (more than 12 months)

In the event of suspension, funds being processed will remain held until the dispute is resolved. The Seller will be notified by email of the reasons for the suspension.

9. Intellectual Property

The Seller retains full intellectual property rights over the workflows they publish. By publishing on FlowMarket, the Seller grants the Platform a non-exclusive, worldwide, royalty-free licence to:

  • Display and promote the workflow on the Platform
  • Distribute the workflow to buyers who have made a purchase
  • Use descriptions and visuals for Platform promotional purposes

10. Taxation and Reporting Obligations

The Seller is solely responsible for complying with their tax and social security obligations. FlowMarket provides no tax advice and shall not be held liable for the Seller's failure to fulfil their reporting obligations.

In accordance with Article 242 bis of the French General Tax Code, FlowMarket provides sellers with an annual summary of their income generated on the Platform.

11. Governing Law

These Terms are governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution. Failing that, jurisdiction is attributed to the competent French courts.
